The Daily Essentials:

Provide guidance and advice to associate attorneys and paralegals to resolve or prevent potential conflicts.

Ensure business compliance and regulations are met.

Draft, prepare, examine, analyze, negotiate, and revise legal documents including, master agreements, addendums, amendments, letters, and other related documents.

Prepare, draft, review, negotiate, and interpret contracts, ensuring business needs and priorities are met while minimizing potential risks.

Advise on a variety of initiatives, projects, and complex contractual relationships through the various stages of the contracting process, from strategy, planning and request for proposal through execution and implementation.

Consult and handle all corporate legal processes (e.g., intellectual property, financial/securities offerings, compliance issues, transactions, agreements, lawsuits, patents).

Collaborate with other departments within the company in the review of contracts to protect the company's interests and provide for adequate risk mitigation.

Evaluate and advise on impact of proposed contractual language and practical business implications.

Draft and negotiate various intellectual property agreements, co-branding, and co-marketing agreements.

Develop legal procedures to streamline the management and administration of company's contracts.

Research, anticipate and guard company against legal risks, relating to company contracts.

Assist in the proper use of the tools, resources, and materials necessary for contract administration.

Provide general legal advice regarding the company's transactions and related activities.

Maintain a regular cadence of communication and ongoing project prioritization with Chief Legal Officer.

Build relationships with clients based on trust.

Requirements

  • Experience working with senior business, finance and tax executives, including, for example, members of the C-Suite, and finance, business development and sales team members.
  • Experience advising disruptive technology-driven clients.
  • Significant, demonstrated and extensive experience with SEC, transactional and financing activities.
  • 5-15 years of corporate and securities (should include '34 Act Reporting) experience in a leading law firm or a combination of a law firm and public company in-house practice.
  • A combination of law firm and public company law department experience is highly preferred.
  • Capability to apply sound legal strategies to complex issues.
  • Must be a collaborative team player with a strong customer-service focus, good work ethic and responsive attitude.
  • Ability to organize, prioritize and manage deadlines for a large volume of complex assignments in a fast-paced work environment.
  • Expertise in working effectively with both teams and independently, manage multiple projects, make effective decisions and collaborate with clients.
  • Ability to lead and manage outside counsel in regards to corporate governance, securities and transactional matters.
  • Integrity and the highest of ethical standards.
  • A professional demeanor and the maturity to interact with senior executives.
  • Excellent analytical, oral and written communication skills.
  • J.D. from an accredited law school and current bar admission in at least one U.S. state is required.
